Terms of Service.

These Terms govern your engagement with Sprout Sage Solutions Pvt. Ltd. By signing a Statement of Work (SOW) or proposal, you agree to these Terms.

1. Engagement scope

Each engagement is governed by a written SOW specifying deliverables, timeline, milestones, and fees. Out-of-scope work requires a written change request.

2. Payment

Project work: 50% deposit, 50% on delivery. Retainers: monthly upfront. Late payment incurs 1.5% interest per month. Currencies accepted: INR, USD, GBP, CAD via Stripe, Razorpay, or wire transfer.

3. Intellectual property

Upon final payment, you own all final deliverables, source files, and credentials. We retain rights to display work in our portfolio unless contractually restricted. We may reuse generic frameworks, libraries, and patterns developed at our cost.

4. Revisions and approvals

Two structured revision rounds are included per major milestone. Additional rounds billed at our standard rate. Approvals must come in writing within 5 working days of presentation.

5. Confidentiality

Both parties keep each other’s non-public information confidential, before, during, and after the engagement. Mutual NDAs available on request.

6. Cancellation

Project work: deposits non-refundable once work has commenced; balance due for completed milestones. Retainers: 30-day written notice. All assets and credentials transfer to you upon final payment.

7. Liability

Our total liability for any engagement is capped at the fees paid for that engagement. We are not liable for consequential, indirect, or punitive damages.

8. Governing law

Governed by Indian law. Disputes resolved by arbitration in Chandigarh, India. Both parties agree to good-faith mediation before any legal action.
